Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On May 20, 2021, Jon Gieselman informed Expedia Group, Inc. (the “Company”) that he was resigning from the Board of Directors of the Company (the “Board”), effective as of May 24, 2021. Mr. Gieselman’s decision to resign was based on his recent appointment as President, Expedia Brands and not because of any disagreement with the Company, management or the Board. On May 24, 2021, the Board eliminated the Board seat held by Mr. Gieselman, as well as the Board seat vacated by Mr. David Sambur on May 14, 2021, thereby decreasing the size of the Board from fourteen directors to twelve directors.
