Item 5.02. Departure of Directors or Certain Officers; Election of
Directors; Appointment of Certain Officers; Compensatory
Arrangements of Certain Officers.
Effective January 13, 2022, in connection with its annual
review and appointment of executive officers of Adobe Inc.
(“Adobe”),
the Board of Directors (the “Board”)
appointed Anil Chakravarthy and David Wadhwani to serve as
Presidents of Adobe: Mr. Chakravarthy as President, Digital
Experience Business, and Mr. Wadhwani as President, Digital Media
Business. Shantanu Narayen, who had previously served as President,
will continue to serve as Adobe’s Chairman and Chief Executive
Officer.
Item 5.03. Amendments to Articles of Incorporation or Bylaws;
Change in Fiscal Year.
On January 13, 2022, the Board adopted amendments to Adobe’s
Amended and Restated Bylaws (the “Amended
Bylaws”),
effective immediately, to amend Article V (Officers) to provide
that the officers of the Company may include one or more Presidents
appointed by the Board, as well as to make various conforming
changes throughout.
The foregoing description of the Amended Bylaws is qualified in its
entirety by reference to the full text of the Amended Bylaws, which
is attached hereto as Exhibit 3.1 and incorporated in this Item
5.03 by reference.
