Item 5.02. Departure of Directors or Principal Officers; Election
of Directors; Appointment of Principal Officers.
(b) On November 19, 2021, Frank Mullen, the Chief Accounting Officer
of AdaptHealth Corp., a Delaware corporation (the “Company”), notified the Company that he will be leaving the Company effective
May 16, 2022. Mr. Mullen has indicated to the Company that his departure is not the result of any dispute or disagreement regarding the
Company’s financial reporting or disclosures or the Company’s accounting policies, principles, practices, procedures, estimates
or judgments. Mr. Mullen informed the Company that he was resigning for personal reasons and will assist the Company in connection with
the transition of his duties to his successor.
