8.01 Other Events.
As previously disclosed, on January 9, 2025, Akoya
Biosciences, Inc., a Delaware corporation (“Akoya” or the “Company”), entered into an Agreement and Plan of Merger
(the “Merger Agreement”) with Quanterix Corporation, a Delaware corporation (“Quanterix”) and Wellfleet Merger
Sub, Inc., a Delaware corporation and a wholly owned subsidiary of Quanterix (“Merger Sub”). The Merger Agreement provides
that, upon the terms and subject to the conditions set forth in the Merger Agreement, Merger Sub will merge with and into Akoya (the “Merger”),
with Akoya continuing as the surviving company and a wholly owned subsidiary of Quanterix following the Merger.
As previously disclosed in Quanterix’s registration
statement filed with the U.S. Securities and Exchange Commission (the “SEC”) on Form S-4, dated February 13, 2025 (the “Registration
Statement”), both Akoya and Quanterix filed notification and report forms with the Antitrust Division of the Department of Justice
and the Federal Trade Commission pursuant to the Hart-Scott-Rodino Antitrust Improvements Act of 1976 (the “HSR Act”) on January
24, 2025. The waiting period applicable to the Merger under the HSR Act expired at 11:59 p.m., Eastern Time, on February 24, 2025.
The completion of the Merger remains subject to
the satisfaction of other customary closing conditions specified in the Merger Agreement, including the adoption of the Merger Agreement
by Akoya’s stockholders and the approval of Quanterix’s stockholders of the issuance of shares of common stock, par value
$0.001 per share, of Quanterix in connection with the Merger. Akoya continues to expect the Merger to close in the second quarter of 2025,
subject to the satisfaction of such conditions.
