Item 2.02 Results of Operations and Financial
Condition
On January 19, 2023, Amerant Bancorp Inc. (the "Company") issued a
press release to report the Company’s financial results for the
fiscal quarter and year ended December 31, 2022. The release is
attached as Exhibit 99.1 to this Current Report on Form 8-K and
incorporated by reference to this Item 2.02.
In accordance with General Instruction B.2. of Form 8-K, the
information in this Item 2.02 of this Current Report on Form 8-K,
including Exhibit 99.1 attached hereto, is being “furnished” and

On January 20, 2023, the Company will hold a live audio webcast to
discuss its financial results for the fiscal quarter and year ended
December 31, 2022. In connection with the webcast, the Company is

Current Report on Form 8-K and incorporated by reference to this

Item 8.01 Other Events.
On January 19, 2023, the Company announced that, on January 18,
2023, its Board of Directors declared a cash dividend of $0.09 per
share of common stock. The dividend is payable on February 28, 2023
to shareholders of record at the close of business on February 13,
2023. A copy of the press release is attached hereto as Exhibit
99.3 and is incorporated herein by reference.
