Explanatory Note
On April 26, 2023, the board of directors of AnPac
Bio-Medical Science Co., Ltd. (the “Company”) approved the change of the Company’s name from AnPac Bio-Medical Science
Co., Ltd. to Fresh2 Group Limited.
A Certificate of Change of Name (the “Certificate”)
was issued by the Registrar of Corporate Affairs of the British Virgin Islands on May 9, 2023. A copy of the Certificate is attached as
Exhibit 3.1 to this Current Report on Form 6-K and is incorporated herein by reference.
