Represents shares of Common
Stock held by Enarey, L.P. ("Enarey"). Mr. Finazzo is the sole
member and manager of Enarey, LLC, which is the sole general
partner of Enarey. Accordingly, all of the shares held by Enarey
may be deemed to be beneficially held by Mr. Finazzo. |

In connection with the
transactions contemplated by the business combination of Monocle
Acquisition Corporation ("Monocle"), AerSale Corporation (f/k/a
Monocle Holdings, Inc.) (following the business combination, the
"Issuer") and AerSale Aviation, Inc. (f/k/a AerSale Corp.)
("AerSale Aviation"), on September 8, 2020, the Reporting Person
entered into an agreement with certain equityholders of the AerSale
Corp.Aviation pursuant to which the Reporting Person acquired the
right to purchase up to 58,597 shares of Common Stock in exchange
for agreeing to reduce the cash consideration received by the
Reporting Person in the business combination. |
