(the “Company”) filed a prospectus supplement (the “Prospectus Supplement”) in connection with its “at-the-market” offering program pursuant to the Company’s effective registration statement on Form S-3 (File No. 333-268087) previously filed with the Securities and Exchange Commission. The opinion of Sullivan & Cromwell LLP, counsel to the Company, is filed as Exhibit 5.1 to this Report and is incorporated by reference to the Prospectus Supplement.
