Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers;          Compensatory Arrangements of Certain Officers.

Michael L. Berger, a named executive officer, will cease to serve as the Chief Commercial Officer of Air Transport Services Group, Inc. (the “Company”), effective December 5, 2022, and has accepted the newly created position of Chief Strategy Officer, responsible for the analysis and development of new ventures consistent with the Company’s global business strategy. Mr. Berger will continue to report to Rich Corrado, the President and Chief Executive Officer of the Company in his new role.

Paul Chase, an experience air cargo industry executive, will assume Mr. Berger’s responsibilities as Chief Commercial Officer, effective December 5, 2022, when Mr. Berger transitions to Chief Strategy Officer.

On November 21, 2022, the Company issued a press release announcing Mr. Berger’s transition to the newly created position of Chief Strategy Officer and Mr. Chase’s appointment as Chief Commercial Officer, a copy of which is attached as Exhibit 99.1 to this Current Report on 8-K and incorporated herein by reference.
