Item 3.01 Notice of Delisting of Failure to Satisfy a Continued
Listing Rule or Standard; Transfer of Listing.
As previously reported, on
February 9, 2022, Avalon
GloboCare Corp. (the "Company") received a letter from the
Listing Qualifications Staff (the "Staff") of the Nasdaq Stock
Market LLC ("Nasdaq") indicating that the bid price of the
Company's common stock (the "Common Stock"), had closed
below $1.00 per share for 30 consecutive business days
and, as a result, the Company was not in compliance with Nasdaq
Listing Rule 5550(a)(2), which sets forth the minimum bid price
requirement for continued listing (the "Minimum Bid
Requirement").
On January 20, 2023, the Company received a letter from the Staff
of Nasdaq indicating that it has regained compliance with the
Minimum Bid Requirement and this matter is now closed.
