Explanatory Note

 

This Amendment No. 1 to Form 8-K, which amends the Current Report on Form 8-K of America’s Car-Mart, Inc. originally filed on November 18, 2021 (the “Original Report”), is being filed to amend the disclosure within Exhibit 99.1 provided in Item 9.01 of the Original Report to correct certain amounts in the “Changes in allowance for credit losses” for the six months ended October 31, 2021, including “Balance at beginning of period” and “Charge-offs, net of collateral recovered,” which were incorrectly reported in the original Exhibit 99.1. Except as otherwise provided herein, the other disclosures made in the Original Report remain unchanged.

 

 


Item 2.02. Results of Operations and Financial Condition.

 

On November 17, 2021, America's Car-Mart, Inc. issued a press release announcing its operating results for the second quarter of fiscal year 2022. The press release contains certain financial, operating and other information for the period ended October 31, 2021. A copy of the press release is attached hereto as Exhibit 99.1 and incorporated herein by reference.

 

In accordance with General Instruction B.2., the information contained in Items 2.02 and 9.01 of this Form 8-K shall not be deemed to be "filed" for purposes of Section 18 of the Securities Exchange Act of 1934 nor shall it be deemed incorporated by reference in any filing under the Securities Act of 1934, as amended.
