Notice of Delisting or Failure to Satisfy a Continued Listing
Rule or

Standard; Transfer of Listing.
|
On October 9, 2009, Mace Security International, Inc (the “Company”)
received a letter from the NASDAQ Listing Qualifications Department that
the Company was not in compliance with NASDAQ Listing Rule 5450(a)(1)
because, for the period August 27, 2009 through October 8, 2009, the
Company’s closing bid price was less than $1.00 per share.
On January 14, 2010 the NASDAQ Listing Qualifications Department
notified the Company that the Company has regained compliance with the
closing bid listing rule (NASDAQ Listing Rule 5550(a)(1)), as the
Company’s closing bid price has been at $1.00 per share or greater for
at least 10 consecutive business days. The January 14, 2010
notification also stated that the matter of the deficiency, set forth in
the October 9, 2009 notice, is now closed.
A copy of a press release issued by the Company on January 15, 2010
regarding the compliance with NASDAQ Listing Rule 5550(a)(1) is filed
as Exhibit 99.1 to this Current Report on Form 8-K and incorporated
herein by reference.
