Use of proceeds

All of the shares of common stock being offered under this prospectus are being sold by the selling stockholders. Accordingly, we will not receive any proceeds from the sale of these shares.

Background

On September 7, 2021, we entered into a Securities Purchase Agreement (the “Securities Purchase Agreement”), by and among PayPal, Inc., Paidy Inc., a kabushiki kaisha (“Paidy”), each of the persons set forth in Schedule 1 thereto and Fortis Advisors LLC, as the sellers’ agent. Pursuant to the Securities Purchase Agreement, on October 13, 2021 (the “Closing Date”), we completed the acquisition of Paidy by acquiring all outstanding shares (the “Transaction”).

Concurrently with the execution of the Securities Purchase Agreement, each of the selling stockholders entered into Reinvestment Agreements. Under the Reinvestment Agreements, each of the selling stockholders reinvested a portion of the cash purchase price such selling stockholder received in the Transaction for the

purchase of the shares of our common stock (collectively, the “Reinvestment Shares”). One-third of the Reinvestment Shares will vest and be deliverable on each of the first and second anniversaries of the Closing Date, and the remaining Reinvestment Shares will vest and be deliverable on the third anniversary of the Closing Date, in each case, subject to the selling stockholder’s continued employment with us or an affiliate through the applicable vesting and delivery date. Payments under the Reinvestment Agreements may be accelerated in the case of certain involuntary terminations of employment (including due to a selling stockholder’s termination without “cause” or for “good reason” or due to death or disability). In addition, each selling stockholder may be required to satisfy indemnification obligations in accordance with the Securities Purchase Agreement.

Our stockholders are not third-party beneficiaries under the Securities Purchase Agreement and the related agreements and should not rely on the representations, warranties and covenants or any descriptions thereof as characterizations of the actual state of facts or condition of PayPal, Paidy or any of their respective subsidiaries.

We are registering for resale an aggregate of 526,912 shares of our common stock that may be sold by the selling stockholders set forth herein. Such shares were sold and issued by us to the former stockholders of Paidy in connection with the closing of the acquisition pursuant to the terms of the Securities Purchase Agreement and the related agreements.

Item 15. Indemnification of Directors and Officers.
