Item 1.01 Entry into a Material Definitive Agreement

 

As previously disclosed, Alpine Acquisition Corporation, a Delaware corporation (“Alpine”), has entered into an Agreement and Plan of Merger, as amended (the “Merger Agreement”), with AAC Merger Sub Inc., a Delaware corporation and wholly-owned subsidiary of Alpine (“Merger Sub”), and Two Bit Circus, Inc., a Delaware corporation (“TBC”). Pursuant to the Merger Agreement, Merger Sub will merge with and into TBC, with TBC surviving the merger as a wholly-owned subsidiary of Alpine (the “Merger”). As a result of the Merger, and upon consummation of the Merger and the other transactions contemplated by the Merger Agreement including the Hotel Purchase (as defined below) (together with the Merger, the “Transactions” or “Business Combination”), TBC will become a wholly-owned subsidiary of Alpine and the stockholders of TBC will become stockholders of Alpine. TBC is a Los Angeles-based experiential entertainment company that is affiliated with certain members of Alpine’s management team.

 

Concurrently with the execution of the Merger Agreement as contemplated therein, Alpine entered into a Purchase and Sale Agreement (the “Hotel Purchase Agreement” and collectively with the Merger Agreement the “Business Combination Agreements”) with Pool IV Finance LLC, Pool IV TRS LLC and PHF II Stamford LLC (“Hotel Sellers”) pursuant to which Alpine will purchase (the “Hotel Purchase”) the Hilton Stamford Hotel & Executive Meeting Center and the Crowne Plaza Denver Airport Convention Center Hotel (collectively, the “Hotels”) simultaneously with the closing of the Merger.

 

On November 30, 2022, the Merger Agreement was amended in order to, among other things, (i) increase the aggregate consideration payable to the equity holders of TBC upon closing of the Merger from $47,247,280 to $49,600,000 and (ii) extend the date by which the parties may terminate the agreement if the transactions contemplated thereby have not been consummated from November 30, 2022 to March 2, 2023.

 

Additionally, on November 30, 2022, Hotel Purchase Agreement was amended in order to extend the date by which the parties may terminate the agreement if the transactions contemplated thereby have not been consummated from November 30, 2022 to March 2, 2023.

Item 2.03 Creation of a Direct Financial Obligation or an Obligation under an Off-Balance Sheet Arrangement of a Registrant

 

The information relating to the Note (as defined below) included in Item 8.01 is incorporated by reference in this item to the extent required herein.

 

Item 8.01 Other Events.

 

On December 1, 2022, Alpine Acquisition Sponsor LLC (the “Sponsor”), a company affiliated with the officers and directors of Alpine, deposited an aggregate of $1,070,000 into the trust account established in connection with Alpine’s initial public offering (the “December 2022 Deposit”). The December 2022 Deposit was required to provide Alpine an additional three months to consummate an initial business combination pursuant to Alpine’s Amended and Restated Certificate of Incorporation. The December 2022 Deposit was made in the form of a non-interest bearing loan.

 

The December 2022 Deposit was evidenced by a promissory note (the “Note”). If Alpine completes an initial business combination, Alpine will repay the amount evidenced by the Note. If Alpine does not complete a business combination, it will repay such amount only from funds held outside of the trust account.

 

Alpine now has until March 2, 2023 to consummate an initial business combination.
