Item 8.01 .  Other Events .

On October 18, 2011, Varian Semiconductor Equipment Associates, Inc. (“Varian”) and Applied Materials, Inc. (“Applied”) received notice of early termination of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended, in connection with Applied’s proposed acquisition of Varian and that the Department of Justice’s investigation of such acquisition has been closed.
