On April 26, 2022, as approved by the Board of Directors of ZK International Group Co., Ltd. (the “Company”), the Company amended its memorandum of association that the Company is authorized to issue unlimited ordinary shares of a single class with no par value each. A copy of the amended and restated memorandum and articles of association is filed as Exhibit 1.1 to this report on Form 6-K and incorporated by reference herein.
