Item 5.02Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On August 29, 2024, the Board of Directors of Constellation Brands, Inc. (the “Company”) accepted the resignation of Judy A. Schmeling as a member of its Board of Directors, effective immediately. The resignation was not due to any disagreement with the Company on any matter relating to its operations, policies, practices, or procedures.

The Board and the Company’s senior leadership are grateful for Ms. Schmeling’s service to the Company and wish her success in her future endeavors.
