Issue of Equity and Total Voting Rights
Gfinity (AIM: GFIN), a world-leading esports and gaming
solutions provider, has issued 9,000,000 new ordinary shares of 0.1
pence each ("Ordinary Shares") to satisfy the consideration of the
acquisition of SiegeGG as announced on 8 September 2021 (the
"Consideration Shares").
Further to the above, the Company also announces the issue of
11,000,000 Ordinary Shares to satisfy warrant exercises. This issue
is covered by a previous block listing.
Following the above exercise, the number of outstanding warrants
in the Company has reduced to 9,050,000 warrants, each at an
exercise price of 1p per ordinary share.
Application has been made to the London Stock Exchange for the
Consideration Shares to be admitted to trading on AIM. Admission of
the Consideration Shares is expected to become effective on or
around 17 September 2021.
The Company's issued share capital as at 14 September 2021
comprises 1,095,513,248 Ordinary Shares, with one voting right per
share. The Company does not hold any Ordinary Shares in treasury.
Therefore, the total number of Ordinary Shares and voting rights in
the Company is 1,095,513,248. This figure should be used by
shareholders as the denominator for the calculations by which they
will determine if they are required to notify their interest in, or
a change to their interest in the Company under the FCA's
Disclosure Guidance and Transparency Rules.
