Gresham House plc
("Gresham House" or the "Company")
Issue of awards to management and certain employees under the
Company's 2018 Bonus Share Matching Plan (the "Plan") and PDMR
notifications
Gresham House, (AIM: GHE) the specialist alternative asset
manager, notifies that certain members of its management team and
employees have elected to defer such amount of their 2021 bonuses
as is permitted by the Company and receive, in exchange and subject
to vesting, ordinary shares of 25 pence each in the capital of the
Company ("Ordinary Shares"), pursuant to the Plan.
The purpose of the Plan is to encourage Gresham House UK
employees to invest in the long-term growth of the Company and
approximately 40% of all eligible UK employees participated in the
Plan this year. Under the Plan, equal portions of any award are
subject to the Ordinary Shares achieving a 7% compound annual
growth rate and out-performing the FTSE All Share Index, measured
over the period from the date of award to the date of vesting of
the award. In the event that these performance conditions are not
met, the participants will receive, on vesting, only the Ordinary
Shares notionally allocated to them arising from their deferred
bonus.
The notifications which follow, made pursuant to Article 19(3)
of the Market Abuse Regulation, provide further details. The awards
set out below are in respect of the Ordinary Shares notionally
allocated to the relevant PDMR which arise from the exchange of
their deferred bonus, subject to vesting. Any matching Ordinary
Shares due to vest will be issued in accordance with the Plan and
upon the satisfaction of the conditions set out above.
