Issue of Shares to Employee Benefit Trust

Gresham House, (AIM: GHE) the specialist alternative asset manager, was notified on 25 March 2022 that the Company's Employee Benefit Trust ("EBT") intends to subscribe for 200,000 new ordinary shares in the Company at their par value of 25p each and at an aggregate cost to the EBT of GBP50,000 ("New Ordinary Shares"). The Company has agreed to lend GBP50,000 to the EBT to fund its subscription for the New Ordinary Shares. The New Ordinary Shares to be held by the EBT are intended to be used to satisfy, in part, previously announced awards arising from the Company's employee incentive schemes.

Accordingly, on 25 March 2022, the Company allotted the New Ordinary Shares to the EBT and such shares will rank pari passu in all respects with the existing ordinary shares of the Company. It is anticipated that the New Ordinary Shares will be admitted to trading on AIM on or around 31 March 2022 ("Admission").

Following Admission, the Company's issued share capital will comprise 38,273,996 ordinary shares, which figure may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company under the FCA's Disclosure and Transparency Rules. The Company does not hold any shares in treasury.
