Recommended Cash Offer (the "Offer")

Capricorn Energy Limited ("Capricorn"), a wholly-owned
subsidiary of Cairn Energy PLC ("Cairn")
for
Nautical Petroleum plc ("Nautical" or the "Company")
Court confirmation of reduction of capital
The Company is pleased to announce that the High Court of
Justice has today made an order confirming the reduction of
Nautical's share capital (save for the Excluded Shares) in
connection with the scheme of arrangement to effect the Offer (the
"Scheme"). This follows the Court's sanction of the Scheme at a
hearing held on 3 August 2012.
The Scheme will become effective upon (i) the Court Orders
(together with the statement of capital) being delivered to the
Registrar of Companies for registration; and (ii) the registration
of the Capital Reduction Court order and such statement of capital,
which is expected to take place tomorrow, 8 August 2012.
Nautical Shares were today temporarily suspended from trading on
the AIM Market of the London Stock Exchange ("AIM"). It is expected
that the Scheme will become effective on 8 August 2012 and that the
cancellation of the admission to trading of Nautical Shares on AIM
will become effective from 8.00 a.m. on 9 August 2012.
Upon the Scheme becoming effective, holders of Scheme Shares
will be entitled to receive 450 pence for each Scheme Share held by
them at the Scheme Record Time (6.00 p.m. on 6 August 2012).
Subject to the Scheme becoming effective on 8 August 2012,
settlement consideration will be sent to Scheme Shareholders by 22
August 2012.
Except as otherwise defined herein, capitalised terms used but
not defined in this announcement have the same meanings as given to
them in the Scheme Document dated 22 June 2012.

Disclosure requirements
Under Rule 8.3(a) of the Code, any person who is interested in
1% or more of any class of relevant securities of an offeree
company or of any paper offeror (being any offeror other than an
offeror in respect of which it has been announced that its offer
is, or is likely to be, solely in cash) must make an Opening
Position Disclosure following the commencement of the offer period
and, if later, following the announcement in which any paper
offeror is first identified.
An Opening Position Disclosure must contain details of the
person's interests and short positions in, and rights to subscribe
for, any relevant securities of each of (i) the offeree company and
(ii) any paper offeror(s). An Opening Position Disclosure by a
person to whom Rule 8.3(a) applies must be made by no later than
3.30 p.m. (London time) on the 10th Business Day following the
commencement of the offer period and, if appropriate, by no later
than 3.30 p.m. (London time) on the 10th Business Day following the
announcement in which any paper offeror is first identified.

interest in relevant securities of an offeree company or a paper
offeror, they will be deemed to be a single person for the purpose
of Rule 8.3.
Opening Position Disclosures must also be made by the offeree
company and by any offeror and Dealing Disclosures must also be
made by the offeree company, by any offeror and by any persons
acting in concert with any of them (see Rules 8.1, 8.2 and
8.4).

relevant securities Opening Position Disclosures and Dealing
