    Osprey Smaller Companies Income Fund Limited (the "Company")
    Result of Tender Offer

    On 19 September 2008, the Company announced that it had published a Circular to Shareholders outlining the proposed Tender Offer by
Fairfax I.S. PLC ("Fairfax") on behalf of the Company for up to 20 per cent. of the issued share capital. On the 20 October 2008 the Company
further announced that the Tender Offer Price as at 17 October 2008, being the Calculation Date, was 94.7022 pence.

    The Company today announces that 2,707,388 Ordinary Shares have been successfully tendered by Fairfax on behalf of the Company, all of
which will be cancelled by the Company.  

    The Company also intends to cancel those shares currently held in treasury, which as at the 20 October 2008 amounted to 500,000 Ordinary
Shares.

    Following completion of the Tender Offer and the cancellation of the shares held in treasury, the Company's issued share capital will
comprise 10,829,612 Ordinary Shares.
