RTL Group statement: Bertelsmann Share Purchase

Luxembourg, 31 January 2002 - RTL Group has been informed that Bertelsmann AG's
purchase of 22 per cent of RTL Group's issued share capital from Pearson plc for
Euro 44 a share has been completed. Consequently, RTL Group announces the
resignation of Marjorie Scardino, Chief Executive Officer of Pearson plc, and
John Makinson, Finance Director of Pearson plc, as non-executive directors of
RTL Group (nominated by Pearson), effective on completion.  RTL Group also
announces the termination of the Shareholders' Agreement of 25 July 2000
outlined in the listing particulars of RTL Group dated 30 June 2000.
