Issue of Equity & Total Voting Rights
Manchester, UK - 21 January 2022: Yourgene (AIM: YGEN), a
leading international molecular diagnostics group, announces that,
an issue of equity pursuant to the terms of the acquisition of
Coastal(R) Genomics Inc. ("Coastal") which completed in August 2020
(the "Acquisition").
Under the terms of the Acquisition, on 12 April 2021 and 11
August 2021, the Company issued, in aggregate, 9,577,036 new shares
in the Company's wholly owned subsidiary, Yourgene Health Canada
Investment Ltd ("YGEN-HCIL"), to the former shareholders of
Coastal. These YGEN-HCIL shares are exchangeable on a one-for-one
basis with the Company's ordinary shares, subject to certain
lock-in provisions over the next one to five years.
The Company has received notice from certain former shareholders
of Coastal to elect to convert 3,319,937 YGEN-HCIL shares into the
Company's ordinary shares.
Application will be made to the London Stock Exchange to admit
the 3,319,937 new ordinary to trading on AIM. Admission of the new
ordinary shares is expected to occur on or around 27 January 2022.
The new ordinary shares will rank pari passu with the existing
ordinary shares.
Total Voting Rights
For the purpose of the Disclosure and Transparency Rules,
following the issue of Company shares detailed above the enlarged
issued share capital of the Company will comprise 727,100,243
ordinary shares of 0.1p each. The Company does not hold any
ordinary shares in treasury. The above figure may be used by
shareholders as the denominator for the calculations by which they
will determine if they are required to notify their interest in, or
a change to their interest in, the Company, under the Disclosure
and Transparency Rules.

existing coverage in the UK, Europe, MEA and Asia.
