BOARD RESTRUCTURING

The directors of Bullion Resources Plc ("the Company") and its advisers have
agreed that a restructuring of the Board to reflect the withdrawal from its
South African operations, would assist in restoring shareholder value and
confidence.

Under these circumstances, Mr Johan Meiring has stepped down as chairman of the
Company with immediate effect. He will remain as a non executive director. Mr
Anthony Ogilvy Thompson and Mr Daryl Bank have voluntarily resigned as
directors.

Mr Malcolm Burne has been appointed chairman. Mr Burne is presently a non
executive director of the company, having been appointed on 22 September 2003,
he represents substantial investor interest including that of Golden Prospect
PLC, of which Mr Burne is executive chairman.

Mr Colin Bird of Lion Mining has been appointed a director. Mr Bird was
previously an alternate director and information regarding him has been
announced in that context in an announcement made on 31 October 2003. Lion
Mining was engaged by the Board to assess the ongoing viability of the gold
mining projects and identify new prospects. Mr Patrick Kennedy will remain as a
non-executive director.

Following the restructuring of the Board, the Company's Nominated Advisers,
Grant Thornton have notified the Company that they wish to resign effective 30
June 2004 and Insinger de Beaufort, the company's brokers have agreed to also be
appointed as Nominated Advisers with effect from 1 July 2004.

The Registered Office address has been changed to
