Exercises of LTIP Awards -
Issue of Shares and Director/PDMR
Shareholding
Epwin Group Plc (AIM: EPWN) ("Epwin"
or the "Group"), the leading manufacturer of energy efficient and
low maintenance building products, with
significant market shares, supplying the
Repair, Maintenance and Improvement ("RMI"), new build and social
housing sectors announces that, pursuant to
the Long Term Incentive Plan ("LTIP") established in 2021, on 18
June 2024 Jonathan Bednall and Christopher Empson, who are Persons
Discharging Managerial Responsibilities ("PDMRs"), as well as
certain other members of the senior management team, exercised
their options that vested under the LTIP on 25 May 2024 to acquire
189,271 ordinary shares of 0.05 pence each in the Company
("Ordinary Shares").
The details of the LTIP are set out
in the Company annual report to 31 December 2023. Full details of
the exercises by PDMRs are set out in disclosure tables
below. As provided in the terms of the LTIP, the awards will
be settled net of taxation in equity, with taxation liabilities
paid by the Group.
Application has been made for the
New Ordinary Shares to be admitted to trading on AIM, and admission
is expected to take place on 24th June 2024 ("Admission").
Following Admission, and excluding the effect of any shares
purchased in the meantime pursuant to Epwin's share repurchase
programme, the Company's issued voting ordinary share capital will
consist of 141,592,094 Ordinary Shares. This figure should be used
by shareholders as the denominator for the calculation by which
they will determine if they are required to notify their interest
in, or a change to their interest in, the Company under the FCA's
Disclosure Guidance and Transparency Rules.
On 18 June 2024 Jonathan Bednall,
Chief Executive Officer, and his wife Justine Bednall transferred
by way of a gift 120,000 Ordinary Shares in aggregate to their
adult children. Following this transfer,
Jonathan Bednall and his closely associated persons are
beneficially interested in 426,183 Ordinary Shares.
