American Defense Systems, Inc. ("ADSI" or the "Company") (NYSE Amex: EAG), a leading provider of advanced transparent and opaque armor, architectural hardening and security products for Defense and Homeland Security, announced today that its annual meeting of stockholders will be held at 10:30 a.m., local time, on December 30, 2011, at the Potomac Institute for Policy Studies, located at Ballston Metro Center Office Towers, 901 North Stuart Street, Suite 200, Arlington, VA 22203. Stockholders of record as of the close of business on December 1, 2011, will be entitled to notice of and to vote at the annual meeting.

If a stockholder of the Company intends to propose business for action at the Company's 2011 annual meeting of stockholders (including a proposal made pursuant to SEC Rule 14a-8), the stockholder must deliver a notice of such nomination or proposal to the Company's Secretary no later than the close of business on November 23, 2011 and comply with the requirements of the Company's by-laws or Rule 14a-8, as applicable.
