Entry Into A Material Definitive Agreement.

Second Amendment to Forbearance Agreement
EnerJex Resources, Inc., a Nevada corporation
(the "Company") , EnerJex Kansas, Inc., DD Energy, Inc., Black Sable Energy, LLC, Black Raven Energy, Inc., Adena, LLC,
and Working Interest, LLC (together with the Company, the "Borrowers") are parties to a Forbearance Agreement dated April
4, 2016, as amended (collectively, the "Forbearance Agreement") with Texas Capital Bank, N.A., (the "Bank")
as Administrative Agent, L/C Issuer and Bank (as those terms are defined in the Forbearance Agreement), and other financial institutions
and banks that may become a party to the Forbearance Agreement from time to time.
On May 31, 2016, the Borrowers and the Bank
entered into a Second Amendment to Forbearance Agreement (the "Second Amendment"), whereby the parties have agreed to
extend the Forbearance Period to August 31, 2016.
The description herein of the Second Amendment
is qualified in its entirety, and the terms are incorporated herein, by reference to the Second Amendment, the form of which is
filed as Exhibits 10.1 hereto.
