NVY Nuveen Pennsylvania Dividend Advantage Municipal Fund 2 Common Shares of Beneficial Interest

The merger is intended to create a single Pennsylvania state fund with lower operating expenses and increased trading volume on the exchange for common shares.

In connection with the shareholder approval, the funds will be merged as follows:

• Nuveen Pennsylvania Premium Income Municipal Fund 2

• Nuveen Pennsylvania Dividend Advantage Municipal Fund

• Nuveen Pennsylvania Dividend Advantage Municipal Fund 2
