Submission of Matters to a Vote of Security Holders.
The 2011 Annual Meeting of Stockholders (the
Annual Meeting
) for Allos Therapeutics, Inc. (the
Company
) was held on June 21, 2011, for the following purposes:
·
to elect seven nominees for the Board of Directors, each to serve until the 2012 Annual Meeting of Stockholders and until his successor has been elected and qualified or until his earlier death, resignation or removal;
·
to approve, on an advisory basis, the compensation of the Companys named executive officers;
·
to indicate, on an advisory basis, the preferred frequency of stockholder advisory votes on the compensation of the Companys named executive officers; and
·
to ratify the selection by the Audit Committee of the Board of Directors of Ernst & Young LLP as the Companys independent registered public accounting firm for the fiscal year ending December 31, 2011.
At the meeting, each of Paul L. Berns, Stephen J. Hoffman, Ph.D., M.D., Jeffrey R. Latts, M.D., Jonathan S. Leff, Timothy P. Lynch, Nishan de Silva, M.D. and David M. Stout was re-elected as a director of the Company. The stockholders of the Company approved, on an advisory basis, the compensation of the Companys named executive officers. The stockholders of the Company indicated, on an advisory basis, the preferred frequency of stockholder advisory votes on the compensation of the Companys named executive officers is every year. In addition, the stockholders of the Company ratified the appointment of Ernst & Young LLP as the Companys independent registered public accounting firm for the Companys fiscal year ending December 31, 2011. The final voting results on each of the matters submitted to a vote of stockholders at the Annual Meeting are as follows:
