Submission of Matters to a Vote of Security Holders.
|
At the special meeting of stockholders, held on August 29, 2012, the stockholders of Ariba, Inc. (Ariba) voted on the proposals set forth below. The proposals are described in detail in
the Companys Proxy Statement. The final results regarding each proposal are set forth below.
Proposal No. 1: To adopt the Agreement
and Plan of Merger, dated as of May 22, 2012, by and among SAP America, Inc., a Delaware corporation (SAP), Angel Expansion Corporation, a Delaware corporation and wholly-owned subsidiary of SAP, and Ariba, as such agreement may be
amended from time to time.

Proposal No. 2: To approve, on a non-binding advisory basis, the compensation to be paid to Aribas named

Proposal No. 3: To approve the adjournment of the special meeting to a later date, if the chairman of the special
meeting determines that it is necessary or appropriate and is permitted by the merger agreement, to solicit additional proxies if there is not a quorum present or there are not sufficient votes in favor of adoption of the merger agreement at the
time of the special meeting.
Adjournment of the special meeting was not necessary or appropriate because there was a quorum
present and there were sufficient votes at the time for the special meeting to adopt the merger agreement.
The merger is
subject to the satisfaction or waiver of remaining closing conditions, including regulatory approval by the U.S. Department of Justice under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, the UKs Office of Fair Trading, and the
Australian Competition and Consumer Commission. Ariba and SAP anticipate that the merger will close soon after receiving the required regulatory clearances, which is currently expected to be in the fourth quarter of calendar year 2012.
