Item 7.01 Regulation FD Disclosure.

On October 1, 2009, MHI Hospitality Corporation (the “Company”) announced that it had filed a Registration Statement on Form S-3 with the Securities and Exchange Commission for a proposed rights offering relating to non-transferable subscription rights to purchase shares of the Company’s common stock, par value $0.01 per share. A copy of the press release announcing the October 12, 2009 record date of the proposed rights offering is included as Exhibit 99.1 to this Form 8-K report and is incorporated herein by reference.
