Item 2.02    Results of Operations and Financial Condition.

On October 28, 2010, Mercer Insurance Group, Inc. (the “Company”) issued a press release (the “Press Release”) containing financial information regarding its financial condition and results of operations at, and for the nine months and quarter ended, September 30, 2010.  The Press Release is attached hereto as Exhibit 99.1 .

The information in this Item 2.02 and the Press Release is being furnished pursuant to Item 2.02 of this Form 8-K and shall not be deemed “filed” with the Securities and Exchange Commission for purposes of Section 18 of the Securities Exchange Act of 1934, nor shall it be deemed incorporated by reference in any filing under the Securities Act of 1933.

Item 8.01    Other Events.

The Company also announced in the Press Release that it approved a cash dividend of $0.10 per share to be paid on December 27, 2010 to shareholders of record as of December 10, 2010.
