( 1)  Restricted stock units granted pursuant to the Knight Capital Group, Inc. 2006 Equity Incentive Plan. Each restricted stock unit represents a contingent right to receive one share of the Class A Common Stock of Knight Capital Group, Inc.
( 2)  Restricted stock units were issued to the reporting person pursuant to his election to receive, in lieu of cash compensation, 100% of his 2010 annual director retainer and committee fees in restricted stock units.
( 3)  Restricted stock units immediately vest and reporting person has elected to defer delivery of all restricted stock units until separation from service from the company.
