Explanation of Responses:
( 1)  Each performance unit represents a contingent right to receive one share of NPS Pharmaceuticals, Inc.'s (the "Issuer") common stock.
( 2)  100% of these performance units vest on August 1, 2014.
( 3)  On August 7, 2013, the reporting person was granted an aggregate of 20,000 performance units. The performance units vest based on the satisfaction of certain performance criteria by the Issuer and/or the reporting person during the performance periods. The performance period for the first 5,000 performance units was August 1, 2013 through June 30, 2014 and one of the three performance goals was met, resulting 1,667 performance units being subject to the vesting criteria described in footnote (2) above.
