Item 2.02. Results of Operations and Financial Condition.

     On April 28, 2010, Rome Bancorp, Inc. ("the Company") issued a press release announcing its financial results for the quarter ended March 31, 2010. The press release also announced the declaration of a quarterly dividend in the amount of 9.0 cents ($0.09) per common share, payable May 21, 2010 to stockholders of record as of May 7, 2010. A copy of the press release is attached as Exhibit 99.1.
