Explanation of Responses:
( 1)  On October 18, 2013, 25,466 shares, which were subject to performance criteria set forth by the Company's Board of Directors, vested and were paid to the reporting person, consisting of; 11,475 shares that were acquired by the reporting person pursuant to the award of 25,000 restricted stock shares in May 2011, 9,880 shares that were acquired by the reporting person pursuant to the award of 28,500 restricted stock shares in May 2012, and 4,111 shares that were acquired by the reporting person pursuant to the award of 18,500 restricted stock shares in May 2013. 7,423 of these 25,466 shares were withheld to pay the resulting tax liability.
( 2)  The number of securities beneficially owned has been reduced to reflect the settlement of the grants noted in Footnote 1.
