(e)  On March 1, 2010, the Compensation and Organization Committee of the Board of Directors granted discretionary bonuses to two persons who were named executive officers with respect to performance during the year ended December 31, 2009, and no other named executive officers were granted bonuses.  Mr. Charles Profilet (Managing Director, Texas Utilities) was awarded a bonus of $45,000.  Mr. Michael Quinn (Managing Director, Western Utilities) was awarded a bonus of $20,000.
