State below in reasonable detail why Forms 10-K,
20-F, 11-K, 10-Q, 10-D, N-CEN, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.
Tuesday Morning Corporation (the “Company”)
was unable, without unreasonable effort or expense, to file its Quarterly Report on Form 10-Q for the fiscal quarter ended December 31,
2022 (the “Quarterly Report”) by the February 9, 2023 filing date.
On February 14, 2023, the Company and certain subsidiaries
filed voluntary petitions for relief under Chapter 11 of the United States Bankruptcy Code (the “Chapter 11 Cases”) in the
United States Bankruptcy Court for the Northern District of Texas, Fort Worth Division (the “Bankruptcy Court”). The Company
will be unable to file the Quarterly Report within the extension period provided by Rule 12b-25 under the Securities Exchange Act of 1934,
as amended.

As described above in Part III – Narrative of this Form 12b-25,
the Company was unable to file the Quarterly Report on Form 10-Q for the quarter ended December 31, 2022 within the prescribed time period
without unreasonable effort and expense. The Company’s results of operations for the three and six month periods ended December
31, 2022 differed significantly from its results of operations for the three and six month periods ended December 31, 2021 due to the
significant adverse developments that occurred with respect to the Company’s business and liquidity, including events preceding
the commencement of the Chapter 11 Cases.
The
Company will begin to file monthly operating reports with the Bankruptcy Court relating to periods subsequent to February 14, 2023 and
will include those reports as exhibits to Current Reports on Form 8-K.
