On February 22, 2019, Cott Corporation (the “Company”)
issued a press release reporting financial results for the fourth quarter and fiscal year ended December 29, 2018. A copy of the
press release is furnished herewith under the Securities Exchange Act of 1934, as amended, as Exhibit 99.1 to this Current Report
on Form 8-K and is incorporated by reference into this Item 2.02 as if fully set forth herein.

On February 22, 2019, the Company announced that the
Board of Directors declared a dividend of US$0.06 per common share, payable in cash on March 27, 2019 to shareowners of record
at the close of business on March 12, 2019. A copy of the press release is furnished herewith as Exhibit 99.1 to this report.
