JPMorgan China Region Fund, Inc. (‘JFC’ or the ‘Fund’) announced today that, based on the preliminary vote count provided by its proxy solicitor following the Fund’s 2016 Annual Meeting of Shareholders (‘Annual Meeting’), on each proposal put forth, the Fund’s stockholders have voted in accordance with the recommendations of the Board of Directors. Accordingly, based on the solicitor’s preliminary vote count, the Fund’s stockholders have voted to:

  • Approve the election of Mr. John R. Hass and Mr. Alistair E.M. Laband as Directors for a term expiring in 2019; and
  • Reject the two stockholder proposals put forth by two activist stockholders, Ancora Catalyst Fund LP and Merlin Partners LP, to terminate the investment advisory agreement between the Fund and JF International Management Inc., and to request the Board authorize a self-tender offer and potential liquidation of the Fund.

Final results of the election will be published once they are certified by the independent inspector of elections following the customary review period.

The Fund is a non-diversified, closed-end management investment company whose shares are traded on the New York Stock Exchange. The Fund trades under the symbol “JFC.”

The Fund seeks to achieve long-term capital appreciation through investments primarily in equity securities of companies with substantial assets in, or revenues derived from, the People's Republic of China, Hong Kong, Taiwan and Macau—collectively, the China Region.
