RESOLVED,
by
the Board of Trustees, including a majority of the disinterested Trustees

to
authorize that management may cause to be issued a fidelity bond, covering each officer and employee of the Fund against larceny and embezzlement and against other types of losses, in a reasonable amount in view of (1) the value of the aggregate assets of the Fund to which any person covered may have access, (2) the type and terms of the arrangements made for the custody and safe-keeping of such assets, and (3) the nature of the securities in the Funds portfolio; and be it further
RESOLVED

that the Secretary and Assistant Secretary of the Trust be, and hereby are, authorized, empowered and directed to make filings with the Securities and Exchange Commission as may be required from time to time pursuant to Rules under the 1940 Act.
