breached their fiduciary duties to the company and its shareholders
by acting in the interests of Kohlberg Kravis Roberts & Co.

board has permitted Sealy to pay KKR $20.9 million, including a
$9.7 million payment for advisory services after Sealy previously
paid $11.0 million to terminate KKR's advisory services. The firm
is also examining allegations that in 2009, Sealy changed director
and officer compensation arrangements to more closely align with
KKR's interest, instead of the interests of Sealy's
shareholders.
