AtmanCo Inc. ("AtmanCo " or the "Company ") (TSX VENTURE:ATW) leader and
innovator in web psychometric test solutions for recruitment, organizational
development and talent measurement within companies, announces that they have
signed a letter of intent with Fly Conseils Inc. in order to acquire all of its
shares.


Fly Conseil inc. is a strategic web agency specializing in search engine
optimization and performance measurement in order to help companies develop
through thorough planning, creative ideas, and implantation of web strategies
and attaining performance objectives.


The letter of intent regarding this non-brokered private placement predicts a
purchase price of 300 000$, by means of payment of 100 000$ in cash, 1 000 000
shares at a deemed price of 0.20$ and 600 000 stock options at the minimum price
of 0.30$, the total payable over 3 years. This letter of intent was approved by
the AtmanCo board of directors and the executive committee at Fly Conseils Inc.


"This acquisition adheres to our digital marketing strategy that allows us to
strengthen our activities on the web. This will help us grow our market outside
Quebec, especially in the United States, with our establishment underway in the
Silicon Valley in California" declared Michel Guay, President and CEO of
AtmanCo.


"Through this acquisition, we will benefit from a team of experts and
strategists that will be rapidly promote our solution in a way that will attract
new clients by the web, optimize the potential of our current clientele and
increase our revenues by maximizing our investments online. This acquisition
will act as the company's second pillar in relation to our objectives. Moreover,
this will also reduce our subcontracting expenses in marketing by investing
within our own company" he concluded.


The closing of this transaction between AtmanCo and Fly Conseils Inc (both
parties being at arm's length) is subject to certain conditions including
satisfactory due diligence done by AtmanCo on Fly Conseils Inc. and obtaining
approval by regulatory authorities.
