documentation in connection with an agreement between Dolly Varden
Resources Inc. (the "Company") and 972879 Alberta Ltd. (the "Vendor")
dated July 14, 2008 (the "Agreement") under which the Company agreed to
purchase an undivided 50% interest (the "Interest") in 25 contiguous
sections of Alberta Oil Sands Leases covering approximately 16,000 acres
or approximately 6,475 hectares in the Alberta Athabasca Oil Sands. Under
the Agreement, as consideration for the Interest, the Company will within
14 days of this Bulletin:
1. pay to the Vendor $250,000 in cash;
2. issue to the Vendor a $1,350,000 convertible debenture which will have
a term of three years from the date of issuance and which will bear
interest at a rate of 8.0% per annum, payable in arrears, the principal
and accrued interest being convertible in whole or in part during the term
of the convertible debenture to purchase common shares of the Company at a
price of $0.50 per common share; and
3. issue to the Vendor 24,000,000 common shares (the "Consideration
Shares") of the Company. The Consideration Shares will be subject to an
Exchange Tier 2 Value Security Escrow Agreement with a 36 month staged
release escrow schedule.
The Exchange has been advised that the Company received approval of its
disinterested shareholders of the Agreement at an Extraordinary General
Meeting held on October 27, 2008.

Insider / Pro Group Participation: The Vendor is a company 100% of the
issued shares of which are owned by a family trust established by the

Enablence Technologies Inc. (the "Company"), Enablence USA Networks Inc.,

Technologies Incorporated ("Pannaway") and Robert Monaco, the Stockholder
Representative. Pursuant to the Agreement, the Company will acquire all
the shares of Pannaway, including the cancellation and assumption of
certain Pannaway debt, and will merge Subco with and into Pannaway.
As consideration, the Company must pay an aggregate of US$200,000 and
issue an aggregate of 20,250,000 shares to Pannaway's shareholders and
5,500,000 shares to one of Pannaway's debtholders in respect of the
cancellation of certain Pannaway debt. Furthermore, the Company will issue
a US$3,000,000 convertible 10-year note (the "Debenture") dated November
19, 2008 bearing interest at a per annum rate of 5% to four debtholders.
From time to time up to the fifth (5th) anniversary of the date of
issuance of the Debenture commencing on the earlier of (i) an event of
default or (ii) the third anniversary of the date of issuance of the
Debenture, the Debenture Is convertible into shares at a conversion price
equal to the greater of (i) closing market price on the last trading day
prior to the date of the conversion notice, and (ii) conversion price of
US$0.317 (CAD$0.365) in the first two years, conversion price of US$0.349
(CAD$0.402) in the third year, conversion price of US$0.384 (CAD$0.442) in
the fourth year, and conversion price of US$0.422 (CAD$0.486) in the fifth
year. The Exchange notes that the maximum number of shares that can be
issued pursuant to the Debenture is 9,463,722 shares.
