Karel Capital Corporation ("Karel" or the "Company") (TSX VENTURE:KRL.P), a
capital pool company, and Preo Software Inc. ("Preo") (CNSX:PKM) announce that
further to their joint press release dated May 5, 2010, each of the annual and
special meetings of the shareholders of Karel and Preo have been changed from
May 28, 2010 to May 31, 2010.


Karel Meeting: In respect of the shareholders of Karel, the annual and special
meeting (the "Karel Meeting") will be held at Greenwood Inn and Conference
Center, Oak Room, 4485 Gateway Blvd., Edmonton, Alberta, T6H 5C3 at 9:00 a.m.
(Edmonton time) on Monday, May 31, 2010, for the purposes stated in the Notice
of Meeting dated May 3, 2010 included in the joint information circular of Karel
and Preo dated May 3, 2010 and filed on SEDAR at www.sedar.com.


Also in respect of the Karel Meeting, to be effective, the instruments of Proxy
must be deposited at the office of Olympia Trust Company, 2300, 125 - 9th Avenue
S.E., Calgary, Alberta, T2G 0P6, not later than 9:00 a.m. (Edmonton time) on
Thursday May 27, 2010.


Preo Meeting: In respect of the shareholders of Preo, the annual and special
meeting (the "Preo Meeting") will be held at Greenwood Inn and Conference
Center, Oak Room, 4485 Gateway Blvd., Edmonton, Alberta, T6H 5C3 at 10:00 a.m.
(Edmonton time) on Monday, May 31, 2010, for the purposes stated in the Notice
of Meeting dated May 3, 2010 included in the joint information circular of Karel
and Preo dated May 3, 2010 and filed on SEDAR at www.sedar.com.


In respect of the Preo Meeting, to be effective, the instruments of Proxy must
be deposited at the office of Computershare Trust Company of Canada, 600, 530 -
8th Avenue S.W., Calgary, Alberta T2P 3S8, not later than 10:00 a.m. (Edmonton
time) on Thursday, May 27, 2010.


Karel and Preo have undertaken and agreed, in respect of any of the agreements
referenced, described or contained in the joint information circular dated May
3, 2010 and filed on SEDAR at www.sedar.com, to take such steps as are required
to amend, restate or waive, the applicable terms and conditions that are
affected by the change in the date of the Preo Meeting and Karel Meeting.
