XXL Energy Corp. (the "Company" or "XXL") (TSX VENTURE:XL) - 

Pooling Agreement Terminated

The Company has been notified that the voluntary Pooling Agreement (the
"Agreement"), previously announced by the Company on October 13, 2006 with an
effective date of September 6, 2006, has been terminated. The Company, who was
not party to the Agreement, understands that the securities owned by Marc
Bruner, as to the 17,500,000 pre-consolidation common shares of the Company,
John Hislop, as to the 10,352,100 pre-consolidation common shares of the Company
and other principal shareholder, as to the 9,102,200 pre-consolidation common
shares of the Company agreed in writing to terminate the Pooling Agreement on
May 8, 2008.
