Explanation of Responses:
( 1)  On March 3, 2009 Mr. Oring transferred 105,000 shares of common stock of Searchlight Minerals Corp. to the Martin Oring Financial Trust Dated December 20, 2006. Mrs. Olivia Oring is one of the trustees of the Martin Oring Financial Trust. Mrs. Olivia Oring is Mr. Oring's wife.
( 2)  130,000 of the 455,000 shares of common stock are jointly held with Mr. Oring's wife.
( 3)  Reflects the issuance of options to purchase up to 6,569 shares of common stock granted to Mr. Oring on March 31, 2009 for his service as a director of Searchlight Minerals Corp. The options vest immediately, and expire on the five year anniversary of the date that they vest.
( 4)  Reflects the issuance of options to purchase up to 7,347 shares of common stock granted to Mr. Oring on December 31, 2008 for his service as a director of Searchlight Minerals Corp. The options vested immediately, and expire on the five year anniversary of the date that they vest.
( 5)  Reflects the issuance of options to purchase up to 200,000 shares of common stock granted to Mr. Oring on October 6, 2008 for his service as a director of Searchlight Minerals Corp. The options vest pro rata over four years, from October 6, 2009 through October 6, 2012. The options each expire on the five year anniversary of the date that they vest.
( 6)  62,500 warrants purchased as part of a private placement that closed on February 23, 2007. On December 29, 2008, Searchlight Minerals Corp. extended the expiration date of such warrants to March 1, 2010 and reduced the exercise price to $2.40.
