    The following prospectus has been approved by the UK Listing Authority and is available for viewing:

    The Prospectus of Thames Water Utilities Cayman Finance Limited (the "Issuer") in relation to its �10,000,000,000 multicurrency
programme for the issuance of guaranteed wrapped bonds and guaranteed unwrapped bonds dated 25 July 2008.

    The Prospectus should be read and construed in conjunction with the Terms and Conditions of the Bonds of the base prospectus dated 24
August 2007 and the audited financial statements, including the independent auditors' reports, for Thames Water Utilities Limited and Thames
Water Utilities Finance Limited, for the fifteen month period ended 31 March 2007 and the financial year ended 31 March 2008, and for the
Issuer, Thames Water Utilities Holdings Limited and Thames Water Utilities Cayman Finance Holdings Limited, for the period from the date of
incorporation to 31 March 2008, which are incorporated by reference in the Prospectus and are also available to the public for inspection at
the UK Listing Authority's Document Viewing Facility, 25 The North Colonnade, Canary Wharf, London E14 5HS.
