Announcement regarding salient dates for the proposed scheme of arrangement
("the scheme") in terms of section 311 of the South African Companies Act,
1973 (Act 61 of 1973), as amended between NCW and its members, other than AAC
and its subsidiaries ("the scheme participants")
Shareholders are referred to the announcement dated Wednesday, 28 October 1998
regarding the scheme. On Tuesday, 10 November 1998, the High Court of South
Africa (Witwatersrand Local Division) ("the Court") granted an order convening
the scheme meeting. The documentation setting out the details of the scheme
has been finalised and will be posted to shareholders today.
Scheme participants are being offered R69,85 in cash for each NCW share held
("the cash consideration").
Upon implementation of the scheme, NCW will become a wholly-owned subsidiary
of AAC.
The salient dates pertaining to the scheme are as follows:

Last date for receipt of proxy forms for the
scheme meeting of NCW, at 10:00 Thursday, 3
December
(proxy forms may also be handed to the chairman of
the scheme meeting up to not later than ten minutes
before commencement of the scheme meeting)
Last date to register in order to vote at the scheme
meeting Thursday, 3
December
Scheme meeting to be held, at 10:00 Friday, 4
December
Expected date of Court hearing to sanction the scheme Tuesday, 15
December
Expected record date (on which members must be
registered in order to be scheme participants
and so become entitled to the cash consideration) Friday, 18
December
Expected date of termination of listing of NCW shares,
if the scheme is implemented Friday, 18
December
Expected operative date Monday, 21
December
Expected date by which the cash consideration will be
posted or made available for collection, if the scheme
becomes operative (see note 1) Wednesday, 23

Notes:
1. Only for scheme participants who surrender their documents of title by
16:00 on the record date. Other scheme participants will have their share or
cash considerations posted, or may arrange for the collection thereof, five
business days after surrender of their documents of title in terms of the
scheme.
2. All dates and times indicated above are subject to amendment. Any
amendments will be published in the press.
3. All dealings on the Johannesburg Stock Exchange and London Stock Exchange
in NCW shares during the week ending Friday, 18 December 1998 will be for
immediate settlement.
4. All times indicated are local South African times.
